    Hosted Website Agreement

    HOSTED WEBSITE AGREEMENT

    • PROVIDER RESPONSIBLE FOR ALL LEGAL COMPLIANCE

    These RentalTide Hosted Site terms ("RHS Terms") are between:

    • the legal entity/person that is the subject of the 'Know Your Customer' check ("Provider") performed by RentalTide and/or the applicable payment service provider; and,
    • RentalTide Inc., a corporation incorporated in Delaware, United States, with additional registration in Canada ("RentalTide").

    The individuals identified above are individually referred to as "Party" and collectively referred to as the "Parties" in these Terms. By accepting these RHS Terms, or by accessing or using the RHS Services (as defined below), Provider accepts the terms and conditions herein. If you are entering into these RHS Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions.

    1. Contractual Framework

    These RHS Terms are in addition to, and form a part of, the Provider Terms & Conditions, which may be amended or modified from time to time and is located at /legal/provider-terms, or any successor URL that RentalTide may designate ("Provider Terms"). For the avoidance of doubt, the terms set forth in the Provider Terms also apply to the RHS Services.

    1.1 Provider Definition

    For the purposes of these RHS Terms, the term "Provider" shall be synonymous with and carry the same meaning, rights, obligations, and liabilities as the term "Provider" as defined in the Provider Terms. Any modifications, amendments, or redefinitions of the term "Provider" in the Provider Terms shall automatically apply to and be mirrored in the definition of "Provider" in these RHS Terms.

    1.2 Platform Integration

    For the purposes of incorporation of the Provider Terms within these RHS Terms, all references to the "Platform" or "Booking System" shall include "RentalTide Hosted Site".

    1.3 Additional Service

    The RHS Services provided under these RHS Terms are deemed to be an Additional Service as defined in the Provider Terms.

    1.4 Definitions

    All capitalized terms used but not defined herein shall have the meanings ascribed to them in the Provider Terms:

    • "RHS Commercial Order" means a binding agreement between RentalTide and Provider detailing specific commercial terms related to the RHS Services, including scope of services, fees, pricing structures, onboarding processes, and optional services.
    • "RentalTide Hosted Site" refers to the website created and hosted by RentalTide for Provider under these RHS Terms.
    • "Custom Site Elements" means all custom code, templates, layouts, styles, scripts, and proprietary implementations developed by RentalTide.

    2. RHS Services

    RentalTide will provide various website hosting, optimization, and support services ("RHS Services") to Provider, the details of which are further described in the RHS Commercial Order, which is incorporated within these RHS Terms as if fully set forth herein.

    Typical RHS Services Include:

    • Custom website design and development
    • Mobile-responsive templates
    • SEO optimization and analytics setup
    • Domain management and SSL certificates
    • Content management system (CMS)
    • Booking system integration
    • Payment processing integration
    • Regular backups and security monitoring
    • Technical support and maintenance
    • Performance optimization

    3. Privacy and Data Processing

    These RHS Terms incorporate and are subject to the RentalTide Privacy Policy and Data Processing Agreement, as may be modified or updated from time to time, set forth at /legal/privacy-policy and /legal/data-processing, which sets out the Parties' obligations and rights under applicable Data Protection Laws.

    4. Compliance Obligations

    Provider is FULLY RESPONSIBLE and LIABLE for the Hosted Site's compliance with ALL laws, rules, regulations and requirements applicable to Provider and any business or operations it conducts on, by, or through the RentalTide Hosted Site, including:

    • Accessibility regulations and international web content accessibility standards (WCAG)
    • Data Protection Laws (GDPR, CCPA, PIPEDA, etc.)
    • Intellectual property laws and copyright compliance
    • Consumer protection and advertising standards
    • Industry-specific regulations (maritime, vehicle rental, etc.)
    • Tax collection and reporting requirements
    • Terms of service and privacy policy requirements
    • Cookie consent and tracking compliance

    If Provider becomes aware of any non-compliant aspects of the RentalTide Hosted Site that only RentalTide can control, Provider shall immediately inform RentalTide in writing.

    5. Intellectual Property

    5.1 RentalTide Intellectual Property

    The RentalTide Hosted Site may be built using open-source platforms (e.g., WordPress, React); however, all Custom Site Elements developed by RentalTide remain the exclusive intellectual property of RentalTide. This includes but is not limited to:

    • Custom code, templates, and layouts
    • Proprietary booking integrations
    • Custom styles and design elements
    • Specialized scripts and functionality
    • Performance optimizations
    • Security implementations

    5.2 Provider Content

    Provider retains ownership of its own content, including but not limited to images, logos, text, videos, and other materials uploaded to the RentalTide Hosted Site. Provider may export its content but may not transfer or duplicate the Custom Site Elements for use on another platform.

    5.3 Limitations on Use

    Provider shall not:

    • Reverse engineer, copy, distribute, or modify the Custom Site Elements
    • Attempt to host the RentalTide Hosted Site outside of RentalTide's managed environment
    • Extract or replicate proprietary code or functionality
    • Share access credentials with unauthorized third parties
    • Use the site for any illegal or unauthorized purposes

    6. Domain Ownership Warranty

    Provider represents and warrants that they are the domain owner, or registrant, that is the individual or organization with exclusive rights to, and control over, the website domain that receives, has received, or will receive, services under these RHS Terms. Provider shall maintain control of the domain throughout the term of this agreement.

    7. Fees and Payment

    As consideration for the RHS Services, Provider shall pay RentalTide the fees set forth in the RHS Commercial Order. RentalTide shall invoice Provider per the information set forth in the RHS Commercial Order, and RentalTide reserves the right to suspend its provision of all or part of the RHS Services if Provider fails to timely pay any undisputed amounts due to RentalTide until such amounts have been paid in full.

    7.1 Commercial Order Control

    Unless otherwise provided for in these RHS Terms, all terms and conditions for fees related to the RHS Services, including specific offerings and discounts, will be described in the applicable RHS Commercial Order. In the event of any conflict between the RHS Terms and the Commercial Order, the Commercial Order shall control.

    7.2 Non-Refundable Onboarding Fee

    Payment: Upon execution of the RHS Commercial Order, Provider shall pay a non-refundable onboarding fee in the amount specified in the RHS Commercial Order.

    Application: The Onboarding Fee will be credited towards and applied to fees for Provider's Monthly or Annual Subscriptions following commencement of the RHS Services.

    Non-Refundability: This Onboarding Fee is non-refundable under ANY circumstances, including cancellation of the RHS Services.

    Timing: Provider shall pay the Onboarding Fee within five (5) business days following execution of the RHS Commercial Order to avoid delays in service initiation.

    7.3 Alternative Payment Models

    In certain cases, and at RentalTide's sole discretion, Provider may be eligible for an alternative payment model in lieu of standard recurring fees for the RHS Services.

    Provider's obligations under the RHS Commercial Order shall remain binding regardless of the payment model used. RentalTide may revise the payment structure or withdraw the alternative payment model at any time by providing thirty (30) days' written notice.

    The Onboarding Fee shall remain applicable, non-refundable, and payable regardless of the payment model selected.

    7.4 Remedies for Payment Failure

    Suspension Rights: RentalTide may suspend or fully disable the RentalTide Hosted Site until all past-due amounts are paid in full.

    Fee Adjustments: RentalTide may increase Booking Fees or Processing Fees on future bookings until all outstanding amounts are recovered.

    Collection Rights: RentalTide may exercise collection rights including PSP account setoff, payment suspension, and direct invoicing.

    No Liability: Provider agrees that RentalTide will not be liable for any damages arising from suspension, disablement, or termination of services.

    7.5 Taxes

    All amounts paid by Provider to RentalTide under these RHS Terms shall be exclusive of any applicable Taxes. The "Tax" section in the Provider Terms applies to these RHS Terms and any transactions related thereto.

    8. Term and Termination

    This Agreement is effective from the date that the Provider signed the RHS Commercial Order. Accessing or using the RHS Services or the RentalTide Hosted Site constitutes acceptance of these RHS Terms, which shall continue to be in full force and effect for so long as the Provider continues to use or access the RHS Services.

    8.1 Monthly Subscriptions

    The minimum Subscription Term for RHS Services is one (1) month ("Monthly Subscription Term"), starting on the effective date in the RHS Commercial Order.

    Notice: Either Party may cancel a Monthly Subscription by providing thirty (30) days written notice.

    Renewal: Unless terminated, Monthly Subscriptions shall renew automatically for the next calendar month.

    8.2 Dormant Mode (Monthly Subscriptions)

    Activation: Provider may elect to place RHS Services in "Dormant Mode" with fifteen (15) days written notice.

    Payment Suspension: During Dormant Mode, Provider will not be required to make Monthly Subscription payments.

    Service Suspension: RentalTide will not provide services during Dormant Mode, including site access or technical support.

    RentalTide Rights: RentalTide reserves the right to modify, update, or display additional content on the dormant site at its discretion.

    Reactivation: Provider must provide fifteen (15) days written notice to reactivate services.

    Automatic Termination: If Provider doesn't request reactivation, RentalTide may terminate the subscription after additional thirty (30) days.

    8.3 Annual Subscriptions

    The maximum Subscription Term for RHS Services is twelve (12) months ("Annual Subscription"), starting on the effective date in the RHS Commercial Order.

    Provider Cancellation: Provider may cancel with thirty (30) days notice prior to the 12-month conclusion.

    RentalTide Cancellation: RentalTide may cancel with thirty (30) days notice and will refund applicable fees on a prorated basis.

    Renewal: Annual Subscriptions automatically renew for additional twelve (12) month periods unless terminated.

    8.4 Alternative Payment Model Termination

    Provider may terminate with thirty (30) days prior written notice. Termination is not effective until the conclusion of the notice period.

    Provider shall remain liable for all amounts due for RHS Services rendered up to and including the effective termination date.

    Termination shall only take effect prospectively and shall not entitle Provider to any retroactive waiver, refund, or credit of fees incurred prior to termination.

    9. Modification and Amendment

    RentalTide reserves the right to modify or amend these RHS Terms at any time. Upon such modification or amendment, RentalTide will provide Provider with reasonable notice, at least 15 days in advance, in accordance with the notice provisions of these RHS Terms. Any modifications will become effective on the date set forth in RentalTide's notice. If Provider disagrees with any modification, Provider shall stop all access to and use of the RHS Services. Provider's continued use of the RHS Services after any modification shall be deemed acceptance of the modified terms.

    10. Incorporation of Provider Terms

    The following sections from the Provider Terms are fully incorporated into these RHS Terms:

    • Section 15: INDEMNIFICATION - Provider's complete indemnification obligations
    • Section 16: LIMITATION OF LIABILITY - $100 CAD maximum liability cap
    • Section 17: DISPUTE RESOLUTION - Mandatory arbitration and class action waiver
    • Section 11: Tax obligations and compliance
    • Section 12: Audit rights and governmental requests
    • Section 13: Insurance requirements

    Provider acknowledges that all warranties, disclaimers, indemnification obligations, liability limitations, and dispute resolution procedures from the Provider Terms apply to the RHS Services.

    11. Additional Hosted Site Provisions

    11.1 Service Level Expectations

    While RentalTide strives to provide reliable hosting services, RentalTide makes no guarantees regarding uptime, performance, or availability of the Hosted Site. Provider acknowledges that internet-based services may experience interruptions and accepts all risks associated with such interruptions.

    11.2 Backup and Data Recovery

    RentalTide may provide backup services as part of the RHS Services, but Provider is solely responsible for maintaining its own backup copies of all content and data. RentalTide shall not be liable for any data loss or corruption.

    11.3 Third-Party Integrations

    The Hosted Site may include integrations with third-party services. Provider acknowledges that such integrations are subject to the third parties' terms and conditions, and RentalTide is not responsible for the availability, functionality, or performance of third-party services.

    11.4 Content Responsibility

    Provider is solely responsible for all content displayed on the Hosted Site, including ensuring accuracy, legality, and appropriateness. RentalTide reserves the right to remove any content that violates these terms or applicable law.
