    API Terms of Service

    DEVELOPER AGREEMENT

    These API Terms of Service govern your access to and use of RentalTide's Application Programming Interfaces (APIs). By accessing our APIs, you agree to be bound by these terms and all applicable laws. Violation of these terms may result in immediate API access termination.

    1. Introduction

    These API Terms of Service ("API Terms") constitute a binding agreement between you ("Developer," "you," or "your") and RentalTide Inc., a corporation incorporated in Delaware, United States, with additional registration in Canada ("RentalTide," "we," "us," or "our") governing your access to and use of RentalTide's APIs, SDKs, documentation, and related developer tools (collectively, the "API Services").

    2. Acceptance and Binding Agreement

    2.1 Agreement Formation

    By accessing, downloading, or using any RentalTide API Services, you acknowledge that you have read, understood, and agree to be bound by:

    • These API Terms of Service
    • RentalTide's general Terms of Service
    • RentalTide's Privacy Policy
    • Any additional terms referenced herein

    2.2 Authority

    You represent and warrant that:

    • You have the legal authority to enter into this agreement
    • If representing an organization, you are authorized to bind that entity
    • You will comply with all applicable laws and regulations
    • All information provided during registration is accurate and complete

    3. API Access and Authentication

    3.1 Developer Account

    To access our APIs, you must:

    • Create a RentalTide developer account
    • Provide accurate business and contact information
    • Verify your identity and business legitimacy
    • Maintain current and accurate account information
    • Comply with our developer onboarding requirements

    3.2 API Keys and Authentication

    • API access requires valid authentication credentials
    • You are responsible for securing your API keys and secrets
    • Do not share, expose, or hardcode credentials in client-side applications
    • Report compromised credentials immediately
    • Rotate credentials regularly according to security best practices

    3.3 Access Levels

    We offer different API access tiers:

    • Sandbox: Testing and development environment
    • Production: Live transaction processing
    • Partner: Enhanced access for certified partners
    • Enterprise: Custom solutions for large-scale integrations

    4. Permitted Uses

    4.1 Authorized Applications

    You may use our APIs to:

    • Build applications that enhance the rental booking experience
    • Create integrations with existing business management systems
    • Develop tools for inventory management and reporting
    • Build mobile applications for operators and customers
    • Create analytics and business intelligence solutions

    4.2 Data Access

    Subject to these terms, you may access:

    • Your own account data and associated bookings
    • Public operator information (with consent)
    • Aggregated, anonymized platform statistics
    • Asset availability and pricing information
    • Transaction data for your connected accounts

    4.3 Commercial Use

    Commercial use is permitted provided you:

    • Comply with all terms and applicable laws
    • Maintain appropriate business licenses
    • Pay applicable fees and revenue sharing
    • Provide adequate customer support
    • Maintain professional service standards

    5. Prohibited Uses

    5.1 Technical Restrictions

    You may NOT:

    • Exceed published rate limits or usage quotas
    • Attempt to bypass authentication or access controls
    • Reverse engineer, decompile, or disassemble our APIs
    • Use our APIs to build competing rental platform services
    • Scrape data outside of API endpoints
    • Cache data beyond permitted timeframes

    5.2 Business Restrictions

    You may NOT:

    • Misrepresent your relationship with RentalTide
    • Use our APIs for illegal or fraudulent activities
    • Violate third-party intellectual property rights
    • Spam or send unsolicited communications
    • Manipulate reviews, ratings, or booking data
    • Create fake accounts or transactions

    5.3 Data Restrictions

    You may NOT:

    • Access data you're not authorized to view
    • Share customer data without proper consent
    • Store sensitive payment information
    • Use data for unauthorized marketing purposes
    • Sell or redistribute RentalTide data to third parties

    6. Rate Limits and Usage Quotas

    6.1 Standard Limits

    Sandbox Environment:

    • 1,000 requests per hour
    • 10,000 requests per month
    • 5 concurrent connections

    Production Environment:

    • 10,000 requests per hour
    • 100,000 requests per month
    • 25 concurrent connections

    Enterprise Tier:

    • Custom limits based on agreement
    • Dedicated rate limit pools
    • Priority support and monitoring

    6.2 Rate Limit Headers

    All API responses include:

    X-RateLimit-Limit: 1000
    X-RateLimit-Remaining: 999
    X-RateLimit-Reset: 1642694400
    X-RateLimit-Window: 3600
    

    6.3 Exceeding Limits

    Exceeding rate limits results in:

    • HTTP 429 "Too Many Requests" responses
    • Temporary blocking (5-60 minutes)
    • Account review for excessive violations
    • Potential permanent suspension

    7. Data Security and Privacy

    7.1 Security Requirements

    You must:

    • Implement industry-standard security measures
    • Use HTTPS for all API communications
    • Encrypt sensitive data at rest and in transit
    • Maintain secure development practices
    • Conduct regular security assessments

    7.2 Data Protection

    You must:

    • Comply with applicable privacy laws (PIPEDA, GDPR, CCPA)
    • Obtain proper consent for data collection and use
    • Implement data minimization principles
    • Provide users with privacy controls
    • Report data breaches within 24 hours

    7.3 Data Retention

    • Cache only what's necessary for your application
    • Delete cached data when no longer needed
    • Respect user deletion requests
    • Follow our data retention guidelines
    • Purge data upon account termination

    8. Intellectual Property

    8.1 RentalTide IP Rights

    RentalTide retains all rights to:

    • API technology and infrastructure
    • Documentation and developer tools
    • Trademarks, logos, and branding
    • Proprietary algorithms and data
    • Platform innovations and improvements

    8.2 Limited License

    We grant you a limited, non-exclusive, non-transferable license to:

    • Access and use our APIs per these terms
    • Use our documentation for development purposes
    • Display RentalTide branding as required
    • Distribute applications built with our APIs

    8.3 Your Application Rights

    You retain rights to:

    • Your original application code
    • Your business logic and algorithms
    • Your user interface and experience
    • Your proprietary data and content

    9. API Versioning and Changes

    9.1 Version Management

    • We maintain backward compatibility for major versions
    • Minor versions may include new features
    • Patch versions include bug fixes and security updates
    • Deprecated versions receive 12 months notice

    9.2 Breaking Changes

    For breaking changes, we provide:

    • 6 months advance notice
    • Migration guides and documentation
    • Developer support during transitions
    • Sandbox environment for testing

    9.3 Service Updates

    We may update APIs to:

    • Improve performance and reliability
    • Add new features and capabilities
    • Enhance security measures
    • Comply with legal requirements

    10. Support and Documentation

    10.1 Developer Resources

    We provide:

    • Comprehensive API documentation
    • SDKs for popular programming languages
    • Code samples and tutorials
    • Interactive API explorer
    • Community forums and support

    10.2 Support Channels

    10.3 Response Times

    • General Inquiries: 2 business days
    • Technical Issues: 1 business day
    • Security Issues: 4 hours
    • Production Outages: 30 minutes

    11. Fees and Payment

    11.1 Pricing Tiers

    Sandbox: Free for development and testing
    Starter: $29/month (up to 50K requests)
    Professional: $99/month (up to 500K requests)
    Enterprise: Custom pricing for high-volume usage

    11.2 Usage-Based Billing

    Overage charges:

    • $0.001 per request above tier limits
    • Billed monthly in arrears
    • Payment due within 30 days
    • Automatic billing through saved payment method

    11.3 Revenue Sharing

    For applications that generate revenue:

    • 2% of gross revenue for marketplace apps
    • 1% for certified partner integrations
    • Custom terms for enterprise agreements
    • Monthly reporting and payment required

    12. Service Level Agreement

    12.1 Uptime Commitment

    • Production APIs: 99.9% uptime
    • Sandbox APIs: 99.5% uptime
    • Enterprise Tier: 99.95% uptime

    12.2 Performance Standards

    • Response Time: < 200ms average
    • Throughput: 1000+ requests/second
    • Data Consistency: 99.99% accuracy

    12.3 Maintenance Windows

    • Scheduled maintenance: 2 AM - 4 AM ET
    • Advance notice: 48 hours minimum
    • Emergency maintenance: As needed with notice

    13. Termination and Suspension

    13.1 Termination Rights

    Either party may terminate:

    • With 30 days written notice
    • Immediately for material breach
    • For violation of terms or policies
    • For non-payment of fees

    13.2 Suspension Triggers

    We may suspend access for:

    • Terms of service violations
    • Security threats or breaches
    • Excessive resource usage
    • Non-payment of fees
    • Legal or regulatory requirements

    13.3 Effect of Termination

    Upon termination:

    • API access immediately ceases
    • All cached data must be deleted
    • Outstanding fees become due
    • Confidentiality obligations survive
    • Users must be notified of service disruption

    14. Compliance and Legal Requirements

    14.1 Regulatory Compliance

    You must comply with:

    • Payment Card Industry (PCI) standards
    • Anti-money laundering (AML) regulations
    • Know Your Customer (KYC) requirements
    • Data protection laws (PIPEDA, GDPR, CCPA)
    • Industry-specific regulations

    14.2 Geographic Restrictions

    API access may be restricted in:

    • Sanctioned countries or regions
    • Jurisdictions with conflicting laws
    • Areas with regulatory restrictions
    • Locations requiring special licensing

    14.3 Audit Rights

    RentalTide reserves the right to:

    • Audit your compliance with these terms
    • Review your security practices
    • Inspect your application for violations
    • Request compliance documentation

    15. Indemnification and Liability

    15.1 Your Indemnification

    You agree to indemnify RentalTide against claims arising from:

    • Your use of the APIs
    • Your application or service
    • Violation of these terms
    • Infringement of third-party rights
    • Your users' actions or omissions

    15.2 Limitation of Liability

    MAXIMUM LIABILITY: RentalTide's total liability shall not exceed CAD $100 or the fees paid by you in the 12 months preceding the claim, whichever is greater.

    15.3 Disclaimer of Warranties

    THE APIS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

    16. Dispute Resolution

    16.1 Mandatory Arbitration

    All disputes shall be resolved through binding arbitration administered by the ADR Institute of Canada, with proceedings in Ottawa, Ontario.

    16.2 Class Action Waiver

    YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

    16.3 Governing Law

    These terms are governed by Ontario law without regard to conflict of law principles.

    17. General Provisions

    17.1 Entire Agreement

    These API Terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement between the parties.

    17.2 Severability

    If any provision is found unenforceable, the remainder shall remain in full force and effect.

    17.3 No Waiver

    Failure to enforce any provision does not constitute a waiver of future enforcement.

    17.4 Assignment

    You may not assign these terms without our written consent. We may assign freely.
