    1. Definitions

    "Advance" means the principal amount disbursed by RentalTide to the Merchant under these terms.

    "Connected Account" means the Merchant's Stripe Connect account linked to the RentalTide Platform.

    "Merchant" means the legal entity accepting these terms.

    "Outstanding Principal" means the Advance amount minus the sum of all principal portions of completed repayments.

    "Platform" means the RentalTide SaaS application.

    "Repayment Schedule" means the twelve (12) consecutive weekly debits described in Section 4.

    "RentalTide" means RentalTide Inc., its affiliates, and its successors.

    "Stripe" means Stripe, Inc. and its affiliates.


    2. The Advance

    2.1 Purpose

    The Advance is provided solely for business purposes in connection with the operation of Merchant's rental business through the Platform. Merchant represents that the Advance will not be used for personal, family, or household purposes.

    2.2 Amount

    The Advance amount is selected by Merchant at the time of acceptance, capped at the maximum offer amount displayed on the Capital page at that moment. The maximum offer is determined by RentalTide based on the Merchant's trailing twelve (12) months of payments processed on the Connected Account, and may change at any time.

    2.3 Pricing

    The Advance accrues simple interest at an annual percentage rate (APR) of 8.99% on the Outstanding Principal until repaid in full. There is no origination fee, no application fee, and no prepayment penalty.

    2.4 Term

    The scheduled term is twelve (12) weeks from the date of disbursement. Merchant may pay off earlier under Section 5.


    3. Disbursement

    3.1 Transfer

    Upon Merchant's acceptance of these terms, RentalTide will initiate a Stripe transfer of the Advance amount directly to the Merchant's Connected Account. Funds typically arrive in the Merchant's Stripe balance within one (1) business day, subject to Stripe's payout schedule.

    3.2 Funding Delays

    If RentalTide is unable to transfer the Advance immediately due to insufficient platform balance, the Advance will be marked as "pending funding" and disbursed within three (3) business days. Merchant may cancel a pending-funding Advance at any time before disbursement at no cost.

    3.3 No Disbursement Guarantee

    Eligibility displayed on the Platform is an estimate and does not constitute a binding offer. RentalTide reserves the right to decline any Advance request in its sole discretion, including for reasons related to fraud risk, account standing, regulatory compliance, or jurisdiction.


    4. Repayment

    4.1 Authorization

    Merchant authorizes RentalTide to debit the Connected Account's available Stripe balance for the weekly repayment amount displayed on the Platform at the time of acceptance, once per week for twelve (12) consecutive weeks, beginning seven (7) days after disbursement.

    4.2 Calculation

    The weekly repayment is calculated as a standard amortizing-loan payment over twelve weeks at the APR set in Section 2.3. The exact weekly amount, total interest, and total repayment are displayed in the acceptance flow.

    4.3 Mechanism

    Each weekly debit is executed as a Stripe transfer from the Connected Account back to RentalTide's platform account, using the Stripe transfers API. Merchant grants RentalTide a limited authorization to initiate such transfers on its behalf.

    4.4 No Card on File Required

    RentalTide does not store or charge a payment card to collect repayments. All collection occurs against the Connected Account's Stripe balance.


    5. Early Payoff

    5.1 Right to Prepay

    Merchant may pay any portion or all of the Outstanding Principal at any time before the scheduled term ends, with no penalty.

    5.2 Interest Treatment

    Interest accrues only on Outstanding Principal. Paying off principal early eliminates the future interest that would have accrued on the prepaid portion. The Platform displays the current Outstanding Principal at all times; this is the early-payoff amount.

    5.3 Mechanism

    Early payoff is initiated by the Merchant via the "Pay off" action on the Capital page and is debited from the same Connected Account balance used for scheduled repayments. The same authorization in Section 4.1 covers early-payoff debits.


    6. Insufficient Balance & Default

    6.1 Retry

    If the Connected Account's available Stripe balance is insufficient on any scheduled debit date, RentalTide will retry on the following business day.

    6.2 Notification

    Merchant will be notified of any failed debit and given the opportunity to add funds or pay manually before further action is taken.

    6.3 Default

    Default occurs if (a) any scheduled repayment is more than fourteen (14) days past due, (b) Merchant closes or revokes access to the Connected Account before the Advance is repaid in full, or (c) Merchant ceases to operate its business on the Platform.

    6.4 Acceleration

    Upon default, the entire Outstanding Principal plus accrued interest becomes immediately due and payable, and RentalTide may (i) suspend Merchant's access to the Platform, (ii) offset the amount owed against any other amounts owed by RentalTide to Merchant, and (iii) pursue any other remedies available at law.


    7. Eligibility & Continuing Obligations

    7.1 Maintain Connected Account

    Merchant agrees to maintain the Connected Account in good standing with Stripe for the duration of the Advance.

    7.2 No Material Adverse Change

    Merchant represents that, as of the date of acceptance, no event or circumstance has occurred that would materially impair its ability to repay the Advance.

    7.3 No Layered Borrowing

    Merchant may hold only one (1) active or pending-funding Advance at a time. Subsequent Advances may be requested only after the prior Advance is paid in full.


    8. Representations & Warranties

    Merchant represents and warrants that:

    1. It is a duly organized and validly existing business entity (or sole proprietor authorized to do business);
    2. The individual accepting these terms has authority to bind the Merchant;
    3. The Advance is for business purposes only;
    4. Merchant is not a consumer in any jurisdiction where these terms would constitute regulated consumer credit;
    5. Merchant is not subject to any insolvency proceeding or bankruptcy filing as of the acceptance date;
    6. All information provided to RentalTide in connection with the Advance is true, accurate, and complete.

    9. Limitation of Liability

    9.1 Cap

    To the maximum extent permitted by law, RENTALTIDE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE ADVANCE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100).

    9.2 Excluded Damages

    In no event shall RentalTide be liable for any indirect, incidental, consequential, special, or punitive damages, lost profits, lost revenue, or business interruption, whether based in contract, tort, or any other theory.

    9.3 Disclaimer

    THE ADVANCE AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." RENTALTIDE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


    10. Indemnification

    Merchant shall defend, indemnify, and hold harmless RentalTide and its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Merchant's breach of these terms, (b) Merchant's misuse of the Advance, (c) Merchant's violation of any law, including any consumer credit, lending, or banking law, and (d) any third-party claim that Merchant lacked authority to bind its business to these terms.


    11. Dispute Resolution

    11.1 Informal Resolution

    Before filing any claim, the parties shall attempt to resolve the dispute informally by written notice to the other party for a period of thirty (30) days.

    11.2 Binding Arbitration

    If informal resolution fails, all disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Delaware, USA.

    11.3 Class-Action Waiver

    THE PARTIES WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. Each party may bring claims only in its individual capacity.

    11.4 Governing Law

    These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.


    12. Term & Termination

    12.1 Effective Date

    These terms are effective as of the date Merchant accepts them in the Platform and continue until the Advance is paid in full or the Advance is cancelled per Section 3.2.

    12.2 Cancellation

    Merchant may cancel an Advance only while it is in "pending funding" status. Once disbursed, the Advance can only be settled by repayment in full.

    12.3 Survival

    Sections 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), and any provisions that by their nature should survive, will survive termination.


    13. General Provisions

    13.1 Entire Agreement

    These terms, together with the RentalTide Terms of Service and Provider Terms, constitute the entire agreement between the parties regarding the Advance.

    13.2 No Waiver

    No failure or delay by RentalTide in exercising any right shall operate as a waiver thereof.

    13.3 Severability

    If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

    13.4 Assignment

    Merchant may not assign these terms without RentalTide's prior written consent. RentalTide may assign these terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

    13.5 Modifications

    RentalTide may update these terms by posting a new version on the Platform. The version in effect on the date of Merchant's acceptance governs that specific Advance for its full duration.
